FairCorp — Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Brennan Faires (“Brennan Faires,” “we,” “us,” or “our”) covering your use of the FairCorp websites and services — including the FairCorp ToolBox storefront (toolbox.fair-corp.com), the FairCorp hub (fair-corp.com), the FairCorp hosting directory, and the websites hosted on FairCorp infrastructure (together, the “Sites”), as well as software distributed through them (together with the Sites, the “Service”). FairCorp is a trade name for software and services published by Brennan Faires, an individual, and is not a separate legal entity; Brennan Faires is the sole legal counterparty to these Terms. Please read them carefully. By accessing, downloading from, or using the Service, you agree to be bound by these Terms and by our Privacy Policy.

1. Product-specific terms

Individual products distributed through the Service may carry their own terms — for example, the Amethyst Yield Terms of Service and Privacy Policy. Where you download or use such a product, its product-specific terms also apply, and they control over these Terms for that product in case of conflict. These Terms otherwise govern the Sites and the Service generally.

2. Who may use the Service

You must be at least 13 years old, and old enough to form a binding contract in the jurisdiction where you reside.
You must not use the Service in any country where doing so would violate applicable law, or in violation of U.S. export-control and sanctions laws.
You may not use the Service to collect or process the data of other people without their authorization.

3. Your account

ToolBox account. Downloading software and using account-gated features requires a FairCorp ToolBox account. You agree to provide accurate information and to keep your sign-in credentials confidential. You are responsible for all activity under your account.
No sharing. You may not share, sell, or transfer your account or credentials, or allow others to use your account, except as expressly permitted by Brennan Faires in writing.

4. Acceptable use

You agree not to misuse the Service, including by:

attempting to access, scrape, or interfere with the Service, our infrastructure, or any other user’s data in ways not authorized by these Terms;
probing, scanning, or testing the vulnerability of the Service or our systems, or circumventing any access or security control;
using the Service to transmit malware, phishing content, or unlawful material;
using another person’s account or credentials, or attempting to impersonate someone else; or
using the Service in any way that violates applicable law, including privacy, data-protection, or intellectual-property law.

5. Software license

Subject to these Terms (and any applicable product-specific terms), Brennan Faires grants you a personal, non-exclusive, non-transferable, revocable license to download, install, and use software made available to you through the Service, on devices you own or control, for its intended purpose. You may not resell, redistribute, sublicense, rent, or lease that software, use it to provide a hosted or managed service to third parties, or remove or obscure any copyright, trademark, or proprietary notice in it.

This license does not grant you any right to Brennan Faires’s or his licensors’ trademarks, trade names, or logos, except as needed to identify the Service.

6. Hosted sites and third parties

Websites hosted on FairCorp infrastructure may be operated for third parties and may carry their own product terms and privacy notices; those notices govern your use of that site alongside these Terms. The Service may also link to or interoperate with third-party services (for example, sign-in, calendar, or payment providers). Your use of third-party services is governed by their own terms and privacy policies, and you are responsible for complying with them.

7. Updates and changes to these Terms

We may revise these Terms. When we do, we will update the “Last updated” date above. If a change is material, we will take reasonable steps to notify you (for example, with a notice on the Sites). Your continued use of the Service after changes take effect means you accept the revised Terms. If you do not agree, stop using the Service.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BRENNAN FAIRES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BRENNAN FAIRES’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID BRENNAN FAIRES FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Brennan Faires from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of the rights of any third party, or (d) your violation of applicable law.

11. Termination and suspension

You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, if continued operation would violate law or create risk to the Service or other users, or as required by law. On termination, your right to use the Service ends; sections of these Terms that by their nature should survive (including sections 4, 5, 8, 9, 10, 12, and 13) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, U.S.A., without regard to conflict-of-law principles. You and Brennan Faires each agree to first attempt to resolve any dispute informally by contacting the other party. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Boulder County, Colorado, and each party consents to the personal jurisdiction of those courts. You agree that any claim you bring must be filed within one (1) year after the claim arises. If you are a consumer in a jurisdiction whose law provides otherwise, the mandatory provisions of that law apply.

13. General

Entire agreement. These Terms, together with the Privacy Policy and any applicable product-specific terms, are the entire agreement between you and Brennan Faires regarding the Service.
Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver.
Assignment. You may not assign or transfer these Terms. Brennan Faires may assign them in connection with a sale or transfer of the Service assets, and will provide notice where reasonably practicable.
