Terms of Service

Amethyst Yield — Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and FairCorp (“FairCorp,” “we,” “us,” or “our”) covering your download and use of the Amethyst Yield desktop application and the optional FairCorp-hosted services that power its live features (together, the “Service”). Please read them carefully. By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy.

1. Overview

Amethyst Yield is an academic-productivity companion: it brings your coursework, calendar, notes, and study timers into one dashboard. The Service is distributed through the FairCorp ToolBox storefront (toolbox.fair-corp.com). Amethyst Yield is designed to be offline-first — most features work entirely on your device. Optional live features — syncing with your learning-management system (Canvas), connecting your Google Calendar, and cloud sync between your own devices — are only active when you sign in and choose to enable them.

2. Who may use the Service

  • You must be at least 13 years old, and old enough to form a binding contract in the jurisdiction where you reside. If you are using the Service as a student, you are responsible for following your school’s or institution’s policies.
  • You must not use the Service in any country where doing so would violate applicable law, or in violation of U.S. export-control and sanctions laws.
  • You may not use the Service to collect or process the data of other people without their authorization.

3. Your account

  • ToolBox account. Downloading Amethyst Yield and signing in to live features requires a FairCorp ToolBox account. You agree to provide accurate information and to keep your sign-in credentials confidential. You are responsible for all activity under your account.
  • Persona & one-time keys. When you first sign in to Amethyst’s backend, the Service creates a “persona” linked to your account. The Service may show you a one-time API key at creation; it is stored only as an unreadable hash and cannot be recovered. Treat it like a password.
  • No sharing. You may not share, sell, or transfer your account or credentials, or allow others to use your account, except as expressly permitted by FairCorp in writing.

4. License we grant you

Subject to these Terms, FairCorp grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control, for your own personal academic-productivity use. You may not:

  • resell, redistribute, sublicense, rent, or lease the Service, or use it to provide a hosted or managed service to third parties;
  • copy, modify, or create derivative works of the Service, except to the extent the law permits and the source code is separately licensed to you;
  • reverse engineer, decompile, or disassemble the Service, except to the extent expressly permitted by applicable law; or
  • remove or obscure any copyright, trademark, or proprietary notice in the Service.

This license does not grant you any right to FairCorp’s or its licensors’ trademarks, trade names, logos, or the “Harvest” design system, except as needed to identify the Service.

5. Accounts and services you connect (Canvas & Google)

Amethyst Yield lets you connect accounts you already have with third parties — for example, your institution’s Canvas learning-management system and your Google Calendar — so those sources appear in your dashboard. These features are optional and are provided at your direction with your own credentials and authorizations.

  • Your responsibility. Only connect accounts you are authorized to use. You are responsible for complying with the terms, policies, and acceptable-use rules of those third parties (including your educational institution and Google).
  • Not affiliated. FairCorp is not affiliated with, sponsored by, or endorsed by your educational institution, Canvas (Instructure), or Google. The Service is an independent tool that reads data only through the access you grant.
  • No representation. We do not submit assignments, change grades, or take any action in your connected accounts on your behalf. Amethyst Yield reflects the data your institution and other providers make available to you. We are not responsible for the accuracy, availability, or timeliness of third-party data, and third-party outages or policy changes may affect live features at any time.
  • Revoking access. You can disconnect a third-party account at any time using the controls in the Service or the third party’s own account settings, and you can ask us to delete the related credentials we store (see the Privacy Policy).

6. Acceptable use

You agree not to misuse the Service, including by:

  • attempting to access, scrape, or interfere with the Service, our infrastructure, or any other user’s data in ways not authorized by these Terms;
  • probing, scanning, or testing the vulnerability of the Service or our systems, or circumventing any access or security control;
  • using the Service to transmit malware, phishing content, or unlawful material;
  • using another person’s account or credentials, or attempting to impersonate someone else; or
  • using the Service in any way that violates applicable law, including privacy, data-protection, academic-integrity, or intellectual-property law.

7. Your content

You retain all rights in the notes, tasks, and other content you create in Amethyst Yield. You grant FairCorp a limited, non-exclusive, royalty-free license to store, process, and transmit that content solely to operate and improve the Service for you (for example, syncing it between your own devices). We do not use your content for advertising, and we do not sell it.

8. Third-party components

The Service may include third-party open-source software and other components under their own licenses, which remain in effect for those components. Nothing in these Terms limits your rights under applicable open-source licenses. Our use of Google APIs is governed by the Privacy Policy and by Google’s API terms.

9. Updates and changes

  • Service updates. We may update, enhance, or modify the Service from time to time, and may add or remove features. We will make reasonable efforts to keep the Service compatible with the version you downloaded.
  • Changes to these Terms. We may revise these Terms. When we do, we will update the “Effective date” above. If a change is material, we will take reasonable steps to notify you (for example, within the Service or at the email on your account). Your continued use of the Service after changes take effect means you accept the revised Terms. If you do not agree, stop using the Service.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE, OPERATING SYSTEM, OR THIRD-PARTY SERVICE. AMETHYST YIELD IS A PRODUCTIVITY TOOL, NOT AN OFFICIAL RECORD OF YOUR ACADEMIC STANDING; IT IS NOT A SUBSTITUTE FOR YOUR INSTITUTION’S SYSTEMS OF RECORD, AND YOU SHOULD VERIFY IMPORTANT INFORMATION (SUCH AS DEADLINES AND GRADES) WITH YOUR INSTRUCTOR OR INSTITUTION.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FAIRCORP, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FAIRCORP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID FAIRCORP FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless FairCorp and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of the rights of any third party (including your educational institution or the providers of accounts you connect), or (d) your violation of applicable law.

13. Termination and suspension

You may stop using the Service at any time and delete your local copy of the application. We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, if continued operation would violate law or create risk to the Service or other users, or as required by a provider whose account access you connected. On termination, your right to use the Service ends; sections of these Terms that by their nature should survive (including sections 6, 7, 10, 11, 12, 14, and 15) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, U.S.A., without regard to conflict-of-law principles. You and FairCorp each agree to first attempt to resolve any dispute informally by contacting the other party. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Boulder County, Colorado, and each party consents to the personal jurisdiction of those courts. You agree that any claim you bring must be filed within one (1) year after the claim arises. If you are a consumer in a jurisdiction whose law provides otherwise, the mandatory provisions of that law apply.

15. General

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and FairCorp regarding the Service.
  • Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver.
  • Assignment. You may not assign or transfer these Terms. FairCorp may assign them in connection with a merger, acquisition, or sale of assets, and will provide notice where reasonably practicable.
